These Terms of Use ("Terms") constitute a legally binding agreement between Topstrata (including its affiliates, successors, and assigns, hereinafter referred to as the "Company", "we", "us", or "our") and you (hereinafter referred to as the "User" or "you"). These Terms govern your access to and use of the website www.top-strata.com, mobile applications, and any other digital properties or services owned and operated by the Company (collectively, the "Platform").
By accessing, browsing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must immediately cease all use of the Platform.
1. Eligibility
The Platform is intended solely for users who are eighteen (18) years of age or older. By using this Platform, you represent and warrant that you possess the legal capacity to enter into a binding contract under applicable law, including the Indian Contract Act, 1872. Minors are strictly prohibited from using the Platform.
2. Intellectual Property Rights
Except for Your Content (defined below), the Company and/or its licensors retain all right, title, and interest, including all worldwide intellectual property rights, in and to the Platform, its software, design, text, graphics, and materials. You are granted a limited, non-exclusive, non-transferable, revocable licence solely to view and access the material contained on the Platform for personal, non-commercial purposes.
3. User Restrictions
You are expressly restricted from executing any of the following actions:

Publishing, distributing, or replicating any Platform material in any media without prior written consent.

Selling, sub-licensing, commercialising, or renting any Platform material.

Using the Platform in any manner that causes, or may cause, damage, disruption, or impairment to the availability or accessibility of the Platform.

Engaging in any automated data collection, including but not limited to data mining, data harvesting, scraping, or data extraction.

Using the Platform contrary to applicable laws and regulations, or in a manner that causes harm to any person or business entity.

Using the Platform for unauthorised marketing, advertising, or promotional activities.
4. Account Credentials & Restricted Access
Certain areas of the Platform may be restricted from user access. The Company reserves the absolute right to restrict or terminate your access to any area of the Platform at any time without notice. Any User ID, password, or security credential issued to you must be maintained as confidential. You assume sole responsibility for all activities occurring under your credentials. The Company shall not be liable for any loss, damage, or unauthorized access resulting from your failure to safeguard your login details.
5. User-Generated Content ("Your Content")
In these Terms, "Your Content" shall mean any text, documents, audio, video, images, forms, or other material you choose to upload, submit, or display on the Platform.

Licence Grant: By uploading Your Content, you grant the Company a non-exclusive, worldwide, irrevocable, royalty-free, sub-licensable licence to use, store, reproduce, adapt, publish, and distribute it in any and all media.

Warranties: You represent and warrant that Your Content is entirely your own, does not infringe upon any third-party intellectual property or privacy rights, and complies with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021.

Prohibited Content: Your Content must not contain illegal, obscene, defamatory, violent, or pornographic material. The Company enforces a zero-tolerance policy against prohibited material. Any violations will result in immediate content removal, termination of access, and formal escalation to competent law enforcement agencies (including appropriate Cyber Crime units) along with all available digital logs.
6. Privacy & Data Protection
Your privacy is important to us. The collection, storage, and processing of your personal data (such as name, email address, and contact number) through the Platform are governed by our Privacy Policy, which is compliant with the Digital Personal Data Protection (DPDP) Act, 2023 and the Information Technology Act, 2000.

You acknowledge that you share personal information voluntarily for the explicit purpose of inquiry execution and service fulfillment.

While the Company implements industry-standard technical and organizational security measures to protect data, you acknowledge that no transmission over the internet can be guaranteed as entirely secure. Subject to applicable mandatory laws, the Company shall not be liable for unauthorized data interception or security breaches occurring beyond its reasonable control.
7. Disclaimer of Warranties
The Platform is provided on an "as is" and "as available" basis, with all faults and defects. To the maximum extent permitted under applicable law, the Company expresses no representations or warranties of any kind—whether express, implied, statutory, or otherwise—regarding the operation, reliability, or completeness of the Platform. Nothing contained on this Platform shall be construed as professional advice or a recommendation to act.
8. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall the Company, its owners, directors, officers, employees, or affiliates be liable for any direct, indirect, incidental, special, or consequential damages, or any loss of profits, data, revenue, or goodwill, arising out of or in connection with your use or inability to use the Platform. This includes, without limitation, damages caused by system failures, computer viruses, cyber-attacks, malware, or data loss encountered during your access, except where such losses are due to gross negligence or willful misconduct directly perpetrated by the Company.
9. Indemnification
You agree to indemnify, defend, and hold harmless the Company, its directors, officers, employees, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with your breach of any provision of these Terms or your unauthorized use of the Platform.
10. Severability
If any provision of these Terms is determined by a competent authority or court of law to be invalid, illegal, or unenforceable under applicable law, such provision shall be severed or modified to the minimum extent necessary, and the remaining provisions of these Terms shall continue in full force and effect.
11. Variation of Terms
The Company reserves the right, at its sole discretion, to revise, modify, or update these Terms at any time. Any changes will become effective immediately upon being posted on the Platform. Your continued use of the Platform following the posting of revisions constitutes your explicit acceptance of the amended Terms. You are expected to check this page periodically for updates.
12. Assignment
The Company is entitled to assign, transfer, or sub-contract its rights and/or obligations under these Terms to any third party without your consent or prior notification. You are strictly prohibited from assigning, transferring, or sub-contracting any of your rights or obligations under these Terms to any third party.
13. Entire Agreement
These Terms, along with our Privacy Policy and any other legal notices published on the Platform, constitute the entire agreement between you and the Company regarding your use of the Platform, superseding all prior oral or written agreements, understandings, or representations.
14. Governing Law & Jurisdiction
These Terms shall be governed by, construed, and enforced in accordance with the laws of the Republic of India, including the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023. Any dispute, controversy, or claim arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New Delhi, India.
